To have and to hold unto the said A.A. Guthrie his heirs or assigns forever. We covenant with him that we are lawfully seized of said lands have a good right to convey the same and that said lands are unincumbered. a part of A. A. GUTHRIE Estate. Being 200 feet facing 25th street Extension,
or Highway #60 West, extending back to an unnamed street 400 feet more
or less.

and sewer through GUTHRIE property.

Conveyance is to be made by Warranty Deed Subject to existing zoning
ordinances, and, in event property is residential, to usual protective
covenants and recorded restrictions applicable to the vicinity.
To make this offer valid, I (we) herewith deposit the sum of $ !,000.00
, which sum, if the sale is consummated, shall be credited on the purchase
price and constitute a part of the cash payment for said property. In the
event title to said property be defective and cannot be perfected within
a reasonable time, or in the event this offer in not accepted by the owner
within
30 days from date, then this offer shall stand revoked and the sum
deposited shall be returned to me (us). Should I (we) revoke or withdraw
this offer, or fail or refuse to carry out its terms then the owner may
at his option, (1) retain the sum of money deposited which I (we) agree
shall constitute liquidated damages for my (our) failure or refusal to
abide by the terms of this offer, or (2) proceed to enforce his legal rights,
if any. (It is agreed that, upon the acceptance of this contract, the services
of the agent will have been substantially performed, and that his compensation
therefor shall become a part of said damages.)
In event of the default of either party hereto, and litigation ensues,
a reasonable attorney's fee shall be included in the damages of the non-defaulting
party recoverable together with any Court costs.
Should this offer be accepted by the owner, I (we) agree to close the
purchase within 60 days from the date that notification of acceptance is
given me (us).
Taxes, interest, fire insurance and rent are to be pro-rated from paid
by GUTHRIE for 1966 and Title Insurance Policy shall be furnished by the
owner, through Tennessee Title Company, Inc., agents for Lawyers Title
Insurance Corporation, Richmond, VA.
Escrow funds, if any, held by a mortgages for payment of taxes, insurance
premiums, etc., are to be transferred to me (us) and I (we) are to be charged
with the amount thereof.
Possession of property to be secured by me (us) on or before when deeds
are delivered.

During the existence of this trust, if the premises conveyed shall
in anywise become involved in litigation, and in the judgment of the holder
of said note, or renewal thereof, it shall necessary to be represented
by attorneys for protection of their interests, then said property will
become liable for such expense thereby incurred, and the same will be collectible
in the manner provided for enforcing the payment of the principal note
aforesaid.
In case the Trustee should die, or refuse to execute this trust, we
hereby authorize the beneficiary to appoint a trustee to execute the trust,
and the same shall have all the powers vested in the said Trustee above
appointed.
In case of sale the said Trustee, or his successors in trust, are hearby
authorized to make to the purchaser all necessary title papers and place
purchaser in peaceable possession of said real estate, and the occupant
of the premises at the time of the sale will become the tenant at will
of the purchaser at reasonable rental from date of sale, and will vacate
said premises upon his request.

SPECIAL PLEAS AND CROSS PETITION
Comes now the City of Cleveland, Tennessee, by its attorneys, and for
Special Pleas to the Declaration filed against it is the above styled cause
says:
I.
Defendant admits the allegations of Section I of the Declaration referring
to Fred GUTHRIE as Executor and Testamentary Trustee of the Estate of A.
A. Guthrie, Deceased, and to allegations of ownership of land, but a more
detailed description of the land taken is hereinafter set out.
II.
Defendant demands strict proof of the allegations set out in Section
II of the Declaration.
III.
Defendant avers that it has constructed a sewer line, as designed by
its engineers, across a portion of Plaintiffs' land. However, it did so
by agreement with Fred Guthrie, Executor of the Estate of A. A. Guthrie,
Deceased, that the Executor, and City would later negotiate the amount
of damages. The parties have been unable to do so and accordingly this
suit has been filed.
The City of Cleveland, Tennessee, avers that the easement is necessary
to properly operate and maintain the sewer line and will need 15 feet in
width and 503.5 feet in length.
Defendant denies that Plaintiff and Cross-Defendants have suffered
the damages set forth in the Declaration, either for the actual taking
of their land or for any alleged incidental damages, and demand proof thereof.
IV.
And now, having answered as completely as it is advised is necessary,
the City of Cleveland, Tennessee, assumes the role of Cross-Petitioner,
and adopts the foregoing averments as completely as if set out verbatim
herein. Cross-Petitioner further avers that it is necessary that the City
of Cleveland, Tennessee, have an easement for sewer line purposes across
the land of Cross-Defendants, which land is generally described as bounded
on the North, East, and West by Guthrie, and on the South by Fredrick Street.
The portion of land taken for sewer assessment purposes is situated in
the Fourth Civil District of Bradley County, Tennessee, and more particularly
described as follows, to-wit:
Beginning at a point in the North line of a roadway which point is North
67 deg. 17 min. West 96.2 feet from the Southwest corner of Fred Guthrie.
Said easement needed for said sewer line is 15 feet in width and lies 7
1/2 feet on either side of the center line, which point of beginning is
as aforesaid and runs thence North 38 deg. 42 mins. East 303.5 feet to
a point in the West line of Fred Guthrie.
V.
Cross-Petitioner avers that it is willing to pay fair market value
of the land taken, and incidental damages, if any, which are not offset
by incidental benefits.
PREMISES CONSIDERED, Cross-Petitioner prays:
1. That a copy of this Cross-Petition be served upon Cross-Defendants,
Fred Guthrie, T. E. Guthrie, T. A. Guthrie, James A. Guthrie, L. C. Guthrie,
Lydia Guthrie, Clarence Guthrie, Robert Trotter, Josephine Brady, and Elmer
Guthrie.
2. That the Non-resident Cross-Defendants, to-wit: Dee Guthrie, Pearl
Cluck, Harvey Fry, Jr., Billy Fry, Frances Hughes, and Florence Higdon,
be served by publishers.
3. That all necessary and proper proceedings be had herewith for the
condemnation and appropriation for the strip of land herein described for
the purposes set out herein and that the same be set apart by notes and
bounds according to the statutes in such cases made and provided, and that
the same be decreed to your Cross-Petitioner at the final hearing.
4. That Cross-Petitioner have such other and further general relief
to which it may be entitled under the facts and law of the same.

his heirs, executors, or administrators shall pay to the said
W. S. QUILLEN his agent, heirs, executors, administrators, or assigns,
the full amount of the indebtedness above mentioned, with the interest
thereon, when the same shall become due and payable, as set forth, and
to keep all the taxes paid, together with insurance on the buildings to
the amount of --- ----- then these presents and the estate hereby conveyed
shall cease and become void. But if default be made in the payment of the
above mentioned sums of money, or any part thereof, or the interest thereon,
or the taxes, or fail to keep the buildings insured ia a reliable company,
then the party of the second part, after giving notice of the time and
place of sale by a posted notice at the front door of the County Court
House in said County at least fifteen days previous to said sale, and on
the day and at the place fixed, between the hours of ten A. M. and two
P. M., the said part y of the second part, his agent or assigns, shall
proceed to sell the property and premises above described and conveyed
at public auction for cash, and in bar of the right and equity of redemption,
which is hereby waived and surrendered, and said Trustee or mortgagee shall
apply the proceeds of such sale:
First, to the payment of all costs and expenses of such sale, including
Attorney's fee of $ 2500 to said party of the second part, his agent, or
assigns; said Attorney
fees and expenses shall become absolutely due and payable when ever
foreclosure is commenced; Second, to the payment of the indebtedness above
mentioned and interest thereon; Third, the surplus, if any, to the part
ies of the first part, or to his order.
The said part ies of the first part further agree s that in case of
any sale hereunder, that they will at once surrender possession of the
said property, and will from that moment become and be the tenant s at
will of the purchaser, and removable by process as upon a forcible and
unlawful detainer suit, hereby agreeing to pay the said purchaser the reasonable
rental value of said premises after such sale.
The party of the second part is hereby released from the obligations
imposed by statute, and it is agreed that said pray in case of any sale
of said property, shall be at liberty to bid and buy as any third person
might.
Qualification and bond under the statute are hereby waived.

and best bidder, which sum was in hand paid and then applied as by said
Trust Deed directed and provided:
NO, THEREFORE, IN CONSIDERATION OF THE PREMISES, and the sum as aforesaid

bargain, sell, transfer, and convey onto the second party, the parcel or
lot of land herein before described.

improvements, buildings, easements and appurtenances thereon and thereunto

right and equity of redemption and homestead, dower and curtesy in the

We are justly indebted to A. A. GUTHRIE in the principal sum of Fifteen
Hundred Dollars, evidenced by our three promissory notes of even date herewith,
for $500.00 each, and due and payable four, five, and six years after date,
respectively, with interest from date at the rate of 6 per cent per annum,
and providing for 10 percent attorneys fees if sued on or placed in the
hands of an attorney for collection.
Now, if we shall pay the sum s aforesaid when due, according to the
terms of said note s , then this instrument is to be of no further force
or effect. But if we fail to pay the sum s of money when due as aforesaid,
or any part of said sum s , according to the terms above expressed, then,
upon such default, this conveyance remains in full force and effect, and
the said Trustee, or his successor in trust, is hereby authorized and empowered,
upon giving 30 days' notice by 5 printed posters, posted publication in
newspaper being waived at 5 public places in Greene County, Tennessee,
to sell said property at the Courthouse door in said County, to the highest
bidder, for cash, and free from the equity of redemption, homestead, dower,
and all other exemptions of every kind, which are hereby expressly waived,
and the said Trustee, or his successor in trust, is authorized to make
a deed to the purchaser. The creditor may bid at any sale under this conveyance.
We agree that the Trustee may, at any time after default in payment of
principal or interest as each falls due respectively, enter and take possession
of said property and shall only account for net rents received by him.
And we agree to keep all the buildings on said property insured in
some reliable fire insurance company or companies for the sum of $ 100.
00 until the sum herein secured is fully paid, and to have the loss made
payable on the policy to said Trustee for the benefit of the owners and
holders of the debt herein secured. We agree to keep the improvements on
the said property in good repair and preservation and to pay all taxes
and assessments, and to pay them when due; and in case we fail to do either;
then said Trustee, or the creditor herein secured, may do either, and charge
and treat the amount so expended as a part of the debt herein secured.
In case of sale under this Deed of Trust, the proceeds will be applied
by the Trustee:
First_To pay all the costs and charges of executing this trust, including
attorney's fees and the expense of any litigation which may arise on account
of the execution and enforcement of this trust.
Second_To pay said debt, or any balance thereof then remaining unpaid.
Third_The residue to be paid to James MYERS
or order. And in case of the death, absence, inability, or refusal
to act of the said Trustee, at any time when action under the foregoing
powers and trusts may be required, the owner of the debt herein secured
is hereby authorized to name and appoint a successor to execute this trust,
and the title herein conveyed to
James MYERS
shall be vested in said successor.
In the event of a sale of said property under and by virtue of this
trust, we
and all persons holding under us shall be and become the tenants at
will of the purchaser of the same, from and after the execution and delivery
of a deed to such purchaser, said tenancy to be determined at the option
of said purchaser upon five days' written notice.

note or interest that may accumilate there on , till
all the afore said sums are paid in full.

due, according to the terms of said note.....,then this instrument
is to be of no further force or effect. But if we fail to pay the said
sum.....of money when due as aforesaid, or any part of said sum....,according
to the terms above expressed, then, upon such default, this conveyance
remains in full force and effect, and the said Trustee, or his successor
in trust, is hereby authorized and empowered, upon giving 30 days
days' notice, by 5 poster publication in 6th dist Greene
premises
County, Tennessee, to sell said property at the Courthouse
door in said County, to the highest bidder, for cash, and free from
the equity of redemption, homestead, dower, and all other exemptions of
every kind, which are hereby expressly waived, and the said Trustee, or
his successor in trust, is authorized to make a deed to the purchaser.
The creditor may bid at any sale under this conveyance. we agree that the
Trustee may, at any time after default in payment of principal or interest
as each falls due respectively, enter and take possession of said property,
and shall only account for net rents received by him.
: And we agree to keep all the buildings on said property insured in
some reliable fire insurance company or companies for the sum of $ until
the sum herein secured is fully paid, and to have the loss made payable
on the policy to said Trustee for the benefit of the owners and holders
of the debt herein secured. we agree to keep the improvements on said property
in good repair and preservation and to pay all taxes and assessments, and
to pay them when due; and in case we fail to do either, then said Trustee,
or the creditor herein secured, may do either, and charge and treat the
amount so expended as a part of the debt herein secured.
In case of sale under this Deed of Trust, the proceeds will be applied
by the Trustee:
First_To pay all the costs and charges of executing this trust, including
attorney's fees and the expenses of any litigation which may arise on account
of the execution and enforcement of this trust.
Second_To pay said debt, or any balance thereof then remaining unpaid.
Third_The to be paid to us
or order. And in case of the death, absence, inability, or refusal
to act of the said Trustee at any time when action under the foregoing
powers and trusts may be required, the owner of the debt herein secured
is hereby authorized to name and appoint a successor to execute this trust,
and the title herein conveyed to James MYERS shall be vested in said successor.
In the event of a sale of said property under and by virture of this
trust, we , and all persons holding under same shall be and become the
tenants at will of the purchaser of the same, from and after the execution
and delivery of a deed to such purchaser, said tenancy to be determined
at the option of said purchaser upon five days written notice.

the notes when due or in any way impair the security offered by said realty,
then said WISECARVER is hereby authorized and empowered to advertise said
land for sale by written or printed posters only for 30 days newspaper
notice being waived said notices being posted at 5 public places in the
county and may sell said lands for cash and in bar of the right of redemption
and in case of failure to meet any more of these notes when due or sale
of the land for any reason authorized above then all the notes shall become
due and the sale shall be made for all of said notes from the proceeds
realized by said sale Said WISECARVER shall first pay the costs of this
trust and its execution. Then the amounts due him on said notes and every
part thereof and the residue. He will pay to us and he is authorized to
make deed for the land so sold binding us with general warrentis and from
the date of any sale hereunder we agree to hold the real estate sold thereat
as the tenants at will of the purchaser. And to vacate same on request
and in case of our failure to vacate we may be dispossessed by writ of
unlawfull detainer and said WISECARVER is authorized to bid at any sale
made hereunder to protect his interest.
We further agree to insure the dwelling house in some reliable insurance
company payable to said WISECARVER in case of fire as his interesting appea?

and all other exemptions of every kind, which are hereby expressly waived,
and the said Trustee, or his successor in trust, is authorized to make
a deed to the purchaser. The creditor may bid at any sale under this conveyance.
We agree that the Trustee may, at any time after default in payment of
principal or interest as each falls due respectively, enter and take possession
of said property, and shall only account for net rents received by him.
: And.....agree to keep all buildings on said property insured in some
reliable insurance company or companies for the sum of $ [blank] until
the sum herein secured is fully paid, and to have the loss made payable
on the policy to said Trustee for the benefit of the owners and holders
of the debt herein secured.
We agree to keep the improvements on said property in good repair and
preservation and to pay all taxes and assessments, and to pay them when
due; and in case we fail to do either, then said Trustee, or the creditor
herein secured, may do either, and charge and treat the amount so expended
as a part of the debt herein secured.
In case of sale under this Deed of Trust, the proceeds will be applied
by the Trustee:
First_ To pay all the costs and charges of executing this trust, including
attorney's fees and the expense of any litigation which may arise on account
of the execution and enforcement of this trust.
Second_ To pay said debt, or any balance thereof then remaining unpaid.
Third_ The residue to be paid to us
or order. And in case of the death, absence, inability, or refusal
to act of the said Trustee at any time when action under the foregoing
powers and trusts may be required, the owner of the debt herein secured
is hereby authorized to name and appoint a successor to execute this trust,
and the title herein conveyed to
J. A. SUSONG shall be vested in said successor.
In the event of a sale of said property under and by virtue of this
trust, we ,
and all persons holding under us shall be and become the tenants at
will of the purchaser of the same, from and after the execution and delivery
of a deed to such purchaser, said tenancy to be determined at the option
of said purchaser upon five days written notice.
