The Articles of Incorporation of Downtown Tempe Community, Inc. are 10 pages long and cost me $5 to Xerox.

The articles were filed on April 2, 1993 and approved on May 4, 1993.

Article III states the DTC Inc will be operated exclusively for charitable purposes, including, but not limited to, lessening the burdens of municiple government through planning and public promotional activities and the provision of enhanced public services at a higher level and greater degree than provided to the remainder of the City by the City of Tempe within and adjacent to the geographical area generally know as the University-Hayden Butte Redevelopment Area, as shall be defined by the Board of Directors.

Interesting. Is this incest between the City of Tempe and DTC Inc? I don't know yet.

Article IV says that the Initial Business of DTC Inc will be to

(b) Provide a safe environment for people and property within the community;

Hmmm! Isn't that already the the job of the Tempe Police?

And if they disarm honest law abiding citizens that will make the environment UNSAFE.

Article IV goes on and says

(c) Develop public or private transportation and parking systems to support the community;

Hmmm! Isn't providing public parking already the job of the City of Tempe?

And one of the reasons this web page was created is that the City of Tempe and DTC Inc want to say this PUBLIC parking is really PRIVATE parking so they can ban guns and booze.

Tempe wants it both ways PUBLIC and PRIVATE!

The City of Tempe appears to have turned this over to the DTC Inc.

All the PUBLIC parking meters on 5th, 6th, 7th, College, Forest, and other streets in downtown Tempe have been converted from City of Tempe parking meters to DTC Inc parking meters. Interesting! DTC Inc a PRIVATE NON-PROFIT Company is charging people to park on PUBLIC OWNED STREETS! Is this LEGAL?

And all the PUBLIC parking lots in Downtown Tempe that used to be owned by the City of Tempe have been turned over to DTC also.

Did the DTC Inc give competive bids to win a contract to take over running PUBLIC parking in Tempe? Or did the City of Tempe just give it to DTC Inc in a sweatheart deal with out any bidding? Is this LEGAL?

And if you don't shove money into the DTC parking meters does the City of Tempe Police write you a ticket. And do you go to court in the Tempe City Court. And do you pay the fine to the City of Tempe? Is this LEGAL?

And the part of (c) Develop public or private transportation and parking systems to support the community; that says develop public transportation isn't the public transportation part the job of Valley Metro (602)253-5000 the folks who provide public transportation to the rest of the Phoenix area.

But the DTC Inc has gotten into the business of providing public transportation. DTC Inc provides four TOTALY FREE BUS ROUTES.

The FLASH (Free Local Area Shuttle) provides free bus service every 10 minutes thru Downtown Tempe in a clock wise route around Arizona State University. The FLASH BACK provides free bus service every 10 minutes thru Downtown Tempe and around ASU in a counter clock wise direction.

A FLASH LITE provides free bus services on weekdays from Downtown Tempe to the Salt River Project, Tosco Corp (Circle K), OrthoLogic Corp, THree-Five Systems, JB Rogers Mechanical, Border States Electric, Express Scripts West, Sonora Quest Laboratories and State Farm Mutual so their employees can take the bus for free and eat lunch in Downtown Tempe.

And another FLASH LITE on weekends provides free bus service from Downtown Tempe to Papago Park, the Phoenix Zoo, and SRP.

The information packets on FLASH are not clear who is paying for this but point to the City of Tempe, ASU, Valley Metro, Federal Transit Administration, and Regional Public Transportation Authority as the people paying for it BUT clearly indicate that DTC Inc is providing the free bus service.

The phone numbers on the packets are 921-2300 which is DTC Inc. and 253-5000 which is Valley Metro.

Again is the business between DTC Inc and the City of Tempe been legally done? Were bids put out and did DTC Inc win the bids? Or did the City of Tempe just give the contracts to DTC Inc with out any bidding. I think I smell something illegal here but I cant put my finger on it.

If the City of Tempe is paying the way then all of these free FLASH bus lines are corporate welfare to benifit the resturants in downtown tempe at the expense of other taxpayers.

Last Article IV says

(e) Serve as the unified voice for the community in its relations with other public and private entities.

Just when has the rest of Downtown Tempe asked the DTC Inc to be its voice? Or does this mean DTC Inc is to be the voice of the City of Tempe?

Article V says that DTC Inc is a non-profit corporation will be exempt from federal income tax and operate under Section 501(c)(3) of the IRS code of 1986.

Article VI says A. No stock or other evidence of ownership or interest shall be issued by this Corporation and no pecuniary profit shall be paid to its members, if any.

B. The classes of membership, if any, and the authorized number and qualifications for membership, the voting and other right and privileges of each class of membership, if any, and the liability of each and all classes as to dues or assessments, if any, and the method of collection thereof, shall be set forth in the Bylaws of this Corporation.

Where can I get a copy of the Bylaws of this Corporation.

ARTICLE VII LIQUIDATION again makes you think something sneaky is going on between DTC Inc and the City of Tempe. It says: Upon winding up and dissolution of this Corporation, ..... the remaining assets shall be distributed to the City of Tempe or to a nonprofit fund ..... operated exclusively for ..... religious ..... purposes

Hmmm! if DTC Inc is disbanded the City of Tempe gets its assets. Sounds sneaky.

If the City of Tempe funded DTC Inc and if DTC Inc is disbanded the assets could go to a religious group which is a violation of both the Arizona Constitution Federal Constitution. Again is the City of Tempe committing any crimes by giving DTC Inc money?

Article VIII Section B says that the Mayor of the City of Tempe and the President of Arizona State University will be non-voting members of the board of directors.

1) Could the City of Tempe and ASU be held legally liable for some illegal actions or damages caused by the DTC Inc because they are letting the Mayor of Tempe, and the President of ASU sit on the DTC board of directors?

2) Does this create any conflicts of interest because ASU and TEMPE give DTC money, and DTC provides services for TEMPE and ASU?

Is this incest between City of Tempe, ASU, and DTC Inc?

Section B also says To ensure that the Corporation is operated and supervised in connection with and for the benefit of the general public,

Does this mean that DTC Inc is really a public corporation? But that Tempe is using it to keep from being accountable?

is also one of the incorporators and initial board of directors. This looks like his home address which is just south of ASU between Apache and Broadway, and between Mill and Rural.

Article X pretty much says that the humans beings associated with DTC Inc won't be liable for any damages they cause while working for DTC Inc.

Another reason to suspect that the City of Tempe is involved. Elected officals usually don't want to be held accountable for their actions.

Article XI section B says The Corporation shall not engage in any act of self-dealing, as defined in Section 4941(d) of the IRS Code of 1986

Whats self-dealing? And is DTC Inc self-dealing?

Article XIII says the corporation shall not practice or permit unlawfull discrimination on the basis of sex, age, race, national origin, religion, or physical handicap or disability.

But it doesn't say one word about discrimination of honest law abiding gun owners, gang bangers, or homeless people. All which the City of Tempe wants to keep out of its Downtown Area.
