ARTICLES OF ORGANIZATION

Name
This organization shall be known as the Cascade Amateur Radio Society (hereinafter referred to as "The Society").
Purpose
The Society is a non-commercial, non-profit association of persons in the Southwest Washington and Northwest Oregon vicinity interested in Amateur Radio. The Society is organized to assist with the emergency communications training and needs of the Church of Jesus Christ of Latter Day Saints, its members, and the community.  The Society promotes interest in, and enjoyment of, Amateur Radio communication, experimentation and education, and provides an environment of fellowship and fun for its members. The Society also seeks to provide the practical benefits of full featured, regional repeater communications for its membership.
Affiliations
The Society will seek to secure and maintain affiliate status with the MARA Northwest amateur radio organization. The Society will also seek to achieve and maintain affiliate status with the Amateur Radio Relay League (ARRL). When or if there is a conflict between these Articles, or any Bylaws, and the rules of affiliate status of any other organization, these Articles, and any Bylaws, of The Society will prevail, to the extent of forfeiture of affiliate status with any organization.
Bylaws
The Society may establish bylaws that govern the order of meetings, events, activities and the regular affairs of The Society.
Non-Profit Organization
The Society is a non-profit organization. No profit or gain shall inure to any individual.
Non-Discrimination
Membership in the Society shall be open to all persons interested in Amateur Radio without regard to race, color, religion, national origin, gender, or physical or mental limitation. Possession of an FCC Amateur Radio License is not a requirement for membership.
Code of Conduct
Members of The Society are expected to demonstrate behavior which is in harmony with the moral and ethical principles of the Church of Jesus Christ of Latter Day Saints at all meetings and events sponsored by The Society.
Dues & Funding
The Society may impose dues and other fees as set forth in the Bylaws. The Society may engage in other fund raising activities as directed by the Officers.
Fiscal Year
The Fiscal year shall be the Calendar year.
Dissolution
In the event of the dissolution of The Society, the assets shall be liquidated and the proceeds donated by the officers of The Cascade Amateur Radio Society to the Welfare Fund of the Church of Jesus Christ of Latter-Day Saints. If, at the time of dissolution of the Society, The Church of Jesus Christ of Latter-Day Saints does not exist the proceeds from the liquidation of The Society's assets will be donated by the officers of the Cascade Amateur Radio Society to the Cascade Pacific Council, Boys Scouts of America.
Receipt of Donations
Any moneys or assets donated to The Society shall be accepted by way of written receipt.  All donations are considered voluntary and, upon receipt, become the sole property of The Society and as such are subject to the disposition of assets on dissolution of The Society as set forth in these Articles of Organization.
Membership
Membership in The Society is contingent upon payment of any dues as set forth in the Bylaws and compliance with the Code of Conduct.
Officers
The Officers of The Society shall be a President, Vice President, Secretary, and Treasurer.
Term of Office
The officers shall be elected to serve terms of one year. No officer shall be elected to serve in the same office for more than two consecutive terms.
Eligibility for Office
All members in good standing shall be eligible to hold any of the offices, except that no individual shall hold more than one elected office at any one time. Further, all officers shall be licensed Amateur Radio operators and members of the Church of Jesus Christ of Latter Day Saints.

Duties of the Officers

President
The President shall have general supervision of the affairs of The Society, shall be the authorized signatory of all contracts and legal documents executed by The Society or shall assign another member to sign specific contracts or documents, except as indicated by a specific provision of the Bylaws, shall make reports to the members of The Society, and perform all duties as are incident to the President's office or are properly required of the President by the Bylaws. In addition, the President shall appoint all standing and special committees, serving as ex-officio member of each.
Vice President
The Vice President shall perform such duties as are incidental to the office. The Vice President shall assume all duties of the President in the absence, incapacity or at the request of the President, and shall succeed the President in said office should the office be vacant.
Secretary
The Secretary shall perform all recording duties as required for the operation of The Society, have charge of The Society minutes, sign all such instruments as require the Secretary's signature, and shall make such reports and perform such duties as are incidental to the office. The Secretary shall have responsibility for minutes of all General, Executive Committee, and Special Meetings of The Society. The Secretary shall maintain custody of all records of The Society, be responsible for assuring that notices for all meetings or other designated events are issued, and perform such corresponding duties as are required for the operation of The Society. The Secretary shall keep a complete record of The Society's membership.
Treasurer
The Treasurer shall have custody of all funds and securities of The Society and deposit same in the name of The Society in such financial institutions as appropriate. The Treasurer shall sign all checks, and shall sign all other instruments as require the Treasurer's signature, and shall make such reports and perform such other duties as are incident to the office. The Treasurer shall be responsible for the collecting of dues and all other moneys and donations due The Society. The Treasurer shall make no distribution of funds without proper authorization by The Society. The Treasurer shall keep a complete record of The Society's financial condition and accounting of all money of The Society. The Treasurer shall also maintain a record of all physical assets of The Society. An Annual Report shall be submitted to the members which includes an accounting of all liquid and physical assets. An audit of the Treasurer's accounts may be made at any time by an audit committee appointed by the President. Such committee shall consist of the Vice President and two members.
Filling of Vacancies
Vacancy of an office shall be filled by a majority vote of the membership present at the next General meeting. The Officer so elected shall serve the remaining term of the vacant office.
Vacating of Office
When any officer shall vacate their office for any reason, they shall immediately turn over all items in their possession that belong to The Society to their successor or another officer if no successor is currently available.
Chief Technologist
The Chief Technologist is appointed by the President to serve as chairman of the Technical Committee and trustee of any Amateur Radio Call Sign assigned to the Society by the FCC. Appointment of a Chief Technologist by the President must be ratified by majority vote of the Executive Committee.  The Chief Technologist may serve in this position indefinitely until released by any currently serving President. After appointment, the Chief Technologist serves as a member of the executive committee.
Executive Committee
The Executive Committee shall include the elected Officers, the Chief Technologist, and all members appointed to the Committee by the President.
Adoption of Articles
These Articles shall be presented to a General Meeting for adoption. Upon approval by a majority of the members present they shall be considered adopted and placed in force. These Articles supersede any prior Articles, Constitution and bylaws previously established. The officers shall affix their signatures to this document pursuant to the vote of the General Meeting.
Amendment of Articles
The Articles may be amended by a two thirds vote of the members present at a Special Meeting called for such purpose.
