Premier Parks Inc.


Overview

Premier Parks Inc. is the largest regional theme park company in the world, with 31 parks located throughout the United States and Europe. The acquisition of Six Flags Theme Parks in April 1998 was a landmark event for the Company catapulting annual worldwide attendance in the Company's parks to nearly 40 million guests.

The Company owns and operates parks in 16 of the 25 largest metropolitan areas in the United States-including 9 of the 10 largest markets.

A publicly held corporation with corporate offices in New York City and Oklahoma City, Premier Parks' shares trade on the NYSE under the symbol PKS.

Properties

The Company's properties include: Adventure World Theme Park, located between Baltimore, Maryland and Washington, D.C.; Darien Lake Theme Park and Camping Resort, between Buffalo and Rochester, New York; Elitch Gardens Theme Park, Denver, Colorado; Frontier City Theme Park and White Water Bay in Oklahoma City, Oklahoma; Geauga Lake Amusement Park, Cleveland, Ohio; The Great Escape and Splashwater Kingdom, Lake George, New York; Riverside Theme Park, Agawam, Massachusetts; WaterWorld USA water adventure parks in Concord and Sacramento, California; and Wyandot Lake, Columbus, Ohio. The Company manages The New Marine World Theme Park near San Francisco. Premier is also rebuilding a theme park on newly acquired land in Indianapolis, Indiana.

Six Flags branded parks are Six Flags Over Texas and Six Flags Hurricane Harbor in Arlington, Texas; Six Flags Over Georgia in Atlanta, Georgia; Six Flags Over Mid-America in St. Louis, Missouri; Six Flags AstroWorld and Six Flags WaterZ/Vorld in Houston, Texas; Six Flags Great Adventure and Six Flags Wild Safari Animal Park in Jackson, New Jersey; Six Flags California including Six Flags Magic Mountain and Six Flags Hurricane Harbor in Valencia, California; Six Flags Great America near Chicago, Illinois; Six Flags Kentucky Kingdom, Louisville, Kentucky; and Six Flags Fiesta Texas in San Antonio, Texas.

Premier owns and operates six theme parks in Belgium, France and the Netherlands.

Company Milestones

1989: Current management team assumed management of the Company.

1990: Completed purchase of Frontier City Theme Park, Oklahoma City.

1991: Purchased White Water Bay water adventure park, Oklahoma City.

1992: Purchased Wild World Amusement Park and changed name to Adventure VVorld in 1994.

1994: Changed company name to Premier Parks Inc.

1995: Purchased Funtime Parks Inc., acquiring Geauga Lake, Wyandot Lake and Darien Lake theme parks.

1996: Initial Public Offering raised nearly $70 million at $18 per share. Purchased Elitch Gardens Amusement Park, Denver, Colorado. Purchased WaterWorld USA water adventure parks in northern Ca I ifo rn ia . Purchased Great Escape & Splashwater Kingdom near Albany, New York.

1997: Purchased Riverside Theme Park near Springfield, Massachusetts. Raised $200 million in a public offering at $29 per share. Formed a new subsidiary, Park Management Corp., to manage Marine World Africa USA near San Francisco. Assumed management of Marine World Africa USA in April. Purchased Kentucky Kingdom in Louisville, Kentucky. Purchased the site of Old Indiana in Indianapolis, Indiana to redevelop as a theme and water adventure park. Entered a definitive agreement to purchase Walibi Family Parks in Europe.

1998: Joined the NYSE. Completed acquisition of the Walibi Family Parks in Europe. Completed acquisition of the Six Flags Theme Park chain.

Senior Management

Kieran E. Burke has served as Chief Executive Officer and a Director of Premier Parks since October 1 989 and Chairman of the Board since June 1994. From 1 989 through June 1994, he was President of Premier Parks. Mr. Burke is a member of the Board of Directors of the International Association of Amusement Parks and Attractions.

He also serves as a director of Blue Ridge Real Estate Company and Big Boulder Corporation. Mr. Burke, a graduate of Harvard Law School, was an investment banker prior to becoming President of Premier Parks. He is the Company's Chairman and Chief Executive Officer and is based at the Company's corporate office in New York City.

Gary Story has served as President, Chief Operating Officer and a Director of Premier Parks since June 1994. From January 1992 through June 1994, he was Premier Parks' Executive Vice President. Prior to that time, he was General Manager of Premier's Frontier City theme park for more than five years.

Mr. Story served as General Manager of Luna Park, an amusement park in Sydney, Australia, during its redevelopment as a theme park and from 1981 through 1983, he served as General Manager of Diversiones del Reino, an amusement park in Mexico City. From 1972 through 1981, Mr. Story served in various capacities with Six Flags Corporation. Mr. Story is based at the Company's Oklahoma City corporate office.

James F. Dannhauser became Chief Financial Officer of the Company in October 1995 and has served as a Director of Premier since December 1992. From 1990 through June 1996, Mr. Dannhauser was a managing director of Lepercq, de Neuflize & Co. Incorporated, an investment-banking firm ("Lepercq"). Mr. Dannhauser, who is a graduate of Harvard Law School, is a member of the board of directors of Lepercq. He is based at the Company's New York City corporate office.
