CONSTITUTION
& BYLAWS





Constitution


Article I:     NAME
The name of this organization shall be the West Virginia Horseshoe Pitchers Association, hereinafter known as the WVHPA.

ARTICLE II:     PURPOSE
The purpose of the WVHPA shall be to develop, foster and promote organized horseshoe pitching at all levels, as a recreational pastime and as a competitive sport throughout the state of West Virginia.

ARTICLE III:     MEMBERSHIP
Any reputable resident of the state of West Virginia may become a member upon payment of the annual dues as set forth within the WVHPA ByLaws.

ARTICLE IV:     AFFILIATION
The WVHPA operates under a Charter issued by the National Horseshoe Pitchers Association of America, (NHPA), and its ByLaws shall govern on matters not specified in the WVHPA Constitution and ByLaws.

ARTICLE V:     OFFICERS
1.    The officers of the WVHPA shall consist of: the President as the Chief Executive Officer, a First Vice President, a Second Vice President, a Third Vice President, a Fourth Vice President, a Fifth Vice President, and a Secretary-Treasurer, that are elected for two year terms.
2.    The WVHPA officers, consisting of the President, and the Second thru Fifth Vice President are elected on the even- numbered years, and the First Vice President and the Secretary-Treasurer are elected on the odd-numbered years.
3.    Terms of office begin January 1 of the following year of their election.


ARTICLE VI:     DUTIES OF THE OFFICERS
1    The Vice Presidents, in their order, shall assume the duties of the WVHPA President in her/his absence, disability and/or resignation.
2    The President shall preside at all WVHPA meetings, and is to pass on any obligations, and to handle whatever other duties may come to her/his attention, to include but not limited to being the second signature on the WVHPA non-interest banking account, assigning duties to officers and the Program/Committee Directors, and delegating in writing for the WVHPA Secretary-Treasurer to sign all warrants.
3    Specific duties of the WVHPA President, Secretary-Treasurer, and the Vice Presidents are set forth within the WVHPA ByLaws.


ARTICLE VII:     EXECUTIVE COUNCIL OF THE WVHPA
The elected officers of the WVHPA shall constitute the Executive Council, and are to act on behalf of the WVHPA as specified in the WVHPA Constitution and both  the ByLaws of the NHPA and the WVHPA.


ARTICLE VIII:     COMMITTEE / PROGRAM DIRECTORS
The President shall appoint Committee / Program Directors as she / he deems necessary to administer to the organization.


ARTICLE IX:     WVHPA BYLAWS
The WVHPA may adopt ByLaws when necessary, including those adopted by the NHPA, and those that have been proposed and adopted by the seated members in good standing at the regular and annual WVHPA business meetings, Labor Day Weekends.


ARTICLE X:     WVHPA MEETINGS
1    The regular and annual WVHPA business meetings shall be held during the same weekend as for the annual West Virginia Horseshoe Pitchers Association State Singles tournaments, and at the same site.
2    Other WVHPA meetings may be called by the President when approved by the majority of the WVHPA Executive Council, and with notification two weeks in advance.
3    The WVHPA Regional Director is to attempt to bring all officers and their Assistant Regional Directors together in a meeting once a year.
4    "ROBERTS RULES OF ORDER" reading as follows shall govern the order of conduct of WVHPA meetings:

  1.  Pledge to the flag.
  2.  Oral prayer and a silent prayer for deceased members.
  3.  Reading of the minutes of the previous meeting.
  4.  Approvals, additions, or corrections of the minutes.
  5.  Reading of the financial report and approval.
  6.  Reports of officers, boards, and standing committees.
  7.  Report of special committees.
  8.  Memorandum of the President
  9.  Unfinished business.
 10.  New business.
 11.  Report of good and welfare work.
 12.  Election of officers.
 13.  Adjournment.


ARTICLE XI:     WVHPA AMENDMENTS
1    This WVHPA Constitution may be amended by a minimum of two-thirds affirmative votes by all WVHPA seated members at the regular and annual business meeting.
2    No proposed Constitutional amendments may be considered, unless the NOTICE has been presented to the membership two weeks prior to the regular and annual business meeting.
