Opcode Announces Major Reorganization

Sweeping Changes Make Way for the Future

Mountain View, CA - Opcode Systems, Inc., a wholly owned subsidiary of Gibson Guitar Corp., has announced a major restructuring of its business. Opcode is reorganizing to strategically position itself for future operations.

"Opcode attracted Gibson as an investor because of the promise that it held for the future. Gibson and Opcode both realized that this future would require development time and significant financial support by Gibson," commented Gibson CEO Henry Juszkiewicz. To that extent, Gibson has devoted time and money to Opcode because of its belief in this promise.

As a result, Opcode has now been provided the resources to pursue development opportunities to the point that it can focus its operations toward specific goals, and is in the process of reorganizing to pursue those efforts. However, these changes may take several months. "Although change is always disruptive, it is essential to progress," added Juszkiewicz.

Opcode apologizes for any concern that has resulted from these efforts, and has every confidence that these changes, when completed, promise a more rewarding future for the company and its customers.

Dear xxxxx:

Thank you for contacting me with your concerns.

I apologize for the lack of information on the current situation at Opcode
and the current short fall in tech support.  It is our sincere intention to
improve this situation as soon as we are able.

First, let me state that Gibson does not control Opcode at this time.  As
the result of the way Opcode was purchased, Opcode is a separate company
that is currently controlled by a board of directors that is deadlocked.
This has resulted in significant litigation.  This has made us very cautious
about what is said publicly.

We have invested millions of real dollars in the future of this company and
I remain excited about the possibilities.  I am working hard to break this
dead lock and allow us the ability to continue to invest in Opcode's (and
Vision's) future.   At the same time, I have a responsibility to Gibson that
I take seriously.

I am upset about our inability to address your valid concerns and I am
working to resolve the serious issues that exist.  I hope the situation will
improve in the short term, although I do not believe to the point we can
satisfy your rightful needs fully.  I am much more optimistic about a
complete resolution in a period of two or three months.

Gibson and I do care and are working to meet the needs of Opcode's loyal
users, and support them in the same manner of excellence our company strives
for in serving all customers.  Presently, however, I can only apologize and
convey to you commitment to resolving this current difficult situation and
to providing a bright and progressive future for Opcode users.

Here's the information that we have on the Opcode situation.

Q: What is Gibson, as parent company, doing about the Opcode situation?
A: "Gibson's current role with it's independent subsidiary Opcode is to
intervene, address problematic issues and optimize the long-term potential
for success and survival. While the details of this reorg cannot be made
public at this time, Gibson has invested time and money in realizing
Opcode's long term potential."   

Q: What about Opcode customer service lack of response? Will Gibson CS help?
A: "Gibson's internal customer service  department is currently not designed
nor equipped to temporarily replace certain technical support functions
carried out at Opcode. However, we are working to find solutions to the
questions from Opcode users as a good-faith courtesy.  In the meantime, the
current staff at Opcode are working to field as many incoming support calls
as possible."

Q: When can Opcode users expect to get codes and help from Opcode tech
support?
A: To the extent there are problems and interruptions in service at Opcode,
Gibson regrets and empathizes with the frustration of the users but we must
reiterate that we at Gibson are doing all we can to rectify the situation at
Opcode as quickly as possible. Until then, we appreciate and ask for the
continued patience and understanding of Opcode users."
